　　COMMISSION AGREEMENT

　　本傭金協(xié)議書于2007年10月日在中國上海由雙方在平等互利基礎(chǔ)上達(dá)成，按雙方同意的下列條件發(fā)展業(yè)務(wù)關(guān)系：

　　This Commission Agreement ("Agreement") is between the parties concerned on October 31, 2007 in Shanghai, China on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follow: In consideration of the mutual agreements and covenants herein contained, the parties hereto agree as follows: 1. 協(xié)議雙方 The Parties Concerned 甲方：地址：電話：傳真： Party A: Add: Tel: Fax:

　　Add: Tel: Fax: 2. 委任 Appointment

　　甲方指定乙方為其在中國的全權(quán)采購代理，采購甲方指定的合法產(chǎn)品。

　　The Party A appoints the Party B as its Exclusive Purchasing Agency in China, purchasing the goods as Part A refers. 3. 雙方的職責(zé) Duties of two parties:

　　(1) 甲方所需的采購業(yè)務(wù)應(yīng)提交給乙方詳細(xì)的詢價單，比如材質(zhì)、尺寸、數(shù)量、品質(zhì)等具體要求，乙方須在7天內(nèi)提供產(chǎn)品報價單給甲方(若遇特殊情況和不可抗拒力因素除外)。 (2) 甲方直接下訂單給乙方，由乙方全權(quán)負(fù)責(zé)從接單到出貨服務(wù)。包括尋找甲方需要的樣品以及物品，為甲方取樣、驗貨、出貨等事宜。

　　(3) 乙方應(yīng)保證所采購產(chǎn)品的合法性以及保證產(chǎn)品符合訂單的要求。 4. 貨款的支付方式

　　甲方正式下單給乙方后，須在兩個工作日內(nèi)支付采購總額的---%定金給乙方以備采購，交貨時，乙方須提供有效提單給甲方，甲方在兩個工作日內(nèi)支付余下的貨款給乙方，貨款須匯入乙方指定銀行。

　　5. 傭金的計算、給付方式、給付時間： COMMISSION

　　甲方同意按照每筆采購發(fā)票總金額的------%支付傭金給乙方，在出貨后的`??天內(nèi)匯入乙方指定銀行。

　　For the Purchasing Agent's services, the Party A shall pay the Party B the following commission percentage within ?? days : ________ % of Part B’s each purchasing aggregate amount of the invoice value against the shipments effected. Commission should be remitted to Party B’s referring bank. 6. 費(fèi)用

　　以下費(fèi)用由甲方承擔(dān)

　　EXPENSES: As part of the compensation to the Party B, the Party B shall also be reimbursed for the following expenses:

　　[Describe all expenses for which the Agent may be reimbursed.] The Company shall not be obligated to reimburse the Agent for any additional expenses incurred in the performance of services pursuant to this Agreement unless agreed in writing by the Company in advance. 7.違約責(zé)任

　　(1) 甲方若不按本合同第5條的執(zhí)行，逾期一天應(yīng)支付乙方滯納金，滯納金系數(shù)為：總傭金的5‰/天。 8. 協(xié)議的修改 Modification

　　此協(xié)議書只有經(jīng)雙方共同簽字后才能作修改，

　　This Agreement may not be modified except by amendment reduced to writing and signed by both Parties. No waiver of this Agreement shall be construed as a continuing waiver or consent to any subsequent breach thereof. 8. 不可抗力 Force Majeure

　　由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見、控制、避免和克服的其他事件導(dǎo)致不能或暫時不能全部或部分履行本協(xié)議，該方不負(fù)責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對方。

　　Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence. 8. 仲裁 Arbitration

　　因履行本協(xié)議所發(fā)生的一切爭議應(yīng)通過友好協(xié)商解決。如協(xié)商不能解決爭議，則應(yīng)將爭議提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(北京)，依據(jù)其仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對雙方都有約束力，仲裁費(fèi)用，除另有規(guī)定外，由敗訴一方負(fù)擔(dān)。

　　All disputes arising from the performance of this agreement shall be settled through friendly negotiation. Should no settlement be reached throught negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission (Beijing) and the rules of this Commission shall be applied. The award of the arbitration shall be final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded. 10. 協(xié)議有效期 Validity of Agreement

　　本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效，有效期為年，從年月日到年月日。 This agreement, when duly signed by the both parties concerned, shall remain if force for 12 months from October 1, 1992 to September 30,1993, and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary. 12. 協(xié)議的終止 Termination

　　在本協(xié)議有效期內(nèi)，如果一方被發(fā)現(xiàn)違背協(xié)議條款，另一方有權(quán)終止協(xié)議。

　　During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.

　　13. 本協(xié)議于年月日在上海簽訂，一式兩份，雙方各執(zhí)一份。傭金協(xié)議應(yīng)與采購訂單同時具備才能生效，傳真件具有同等效力。
